1. Agreement to Terms
By accessing or using CallProx's website and telemarketing services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services. These terms constitute a legally binding agreement between you and CallProx.
2. Description of Services
CallProx provides outbound telemarketing services, including but not limited to lead generation, appointment setting, market research, customer retention, and outbound sales campaigns. Services are provided on a contractual basis with specific deliverables, timelines, and pricing as outlined in individual service agreements.
3. Account Registration and Security
To access certain features of our services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
4. Payment Terms
4.1 Fees and Billing
Service fees are outlined in your service agreement or statement of work. Unless otherwise specified, payment terms are net 15 days from the invoice date. We accept payment via credit card, wire transfer, or ACH.
4.2 Late Payments
Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts with overdue balances exceeding 30 days.
4.3 Refunds
Refund policies are outlined in our Refund Policy. By using our services, you acknowledge and agree to these terms.
5. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these terms. Prohibited activities include:
- Using our services for any illegal purpose or to solicit illegal acts
- Attempting to interfere with or disrupt our services or servers
- Using automated systems or software to extract data from our platform
- Impersonating any person or entity or misrepresenting your affiliation
- Uploading or transmitting viruses, malware, or other malicious code
- Harassing, abusing, or harming our employees or representatives
6. Intellectual Property
All content, features, and functionality on our website, including text, graphics, logos, and software, are owned by CallProx or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written consent.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the business relationship. This includes business strategies, customer lists, technical data, and pricing information. Confidentiality obligations survive termination of services.
8. Limitation of Liability
To the maximum extent permitted by law, CallProx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising out of or related to your use of our services. Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless CallProx and its employees, contractors, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of our services, violation of these terms, or violation of any rights of a third party.
10. Termination
We may terminate or suspend your account and access to services immediately, without prior notice, for any breach of these terms. Upon termination, your right to use the services ceases immediately. Provisions that by their nature should survive termination shall survive.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action arising out of these terms shall be filed in the state or federal courts located in San Francisco County, California.
12. Changes to Terms
We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the updated terms on our website with a new "Last updated" date. Your continued use of our services after changes constitutes acceptance of the revised terms.
